Indonesia (Persero) Tbk reported the resignation of one of its independent commissioners,

, to the Financial Services Authority (
FSA
).
“On November 20 2025 the company received a letter of resignation from Mr Yohanes Surya as Independent Commissioner of PT Telkom Indonesia (Persero) Tbk,” wrote Telkom SVP Corporate Secretary Jati Widagdo via the Indonesian Stock Exchange (BEI) Information Disclosure, Friday (21/11).
In the report, Jati stated that this resignation had no material impact on business continuity.

He also ensured that he would carry out the necessary steps in accordance with the regulator’s provisions regarding the administration process and determining a replacement commissioner, which will be discussed further.
“The company will take the necessary steps regarding the resignation letter submitted by Mr Yohanes Surya in accordance with applicable regulations,” he said.
This resignation was conveyed at the same time as Telkom’s plan to hold an online Extraordinary General Meeting of Shareholders (EGMS) on December 12 2025.
Based on the EGMS summons document, changes to the composition of the company’s management are one of the agenda items that will be discussed by shareholders.
Apart from that, other agendas include approval for the separation of part of the wholesale fiber connectivity business and assets (phase I), changes to the articles of association, delegation of authority to approve the 2026 RKAP, and acceptance of government assignments to provide Temporary National Data Center (PDNS) services during the transition period.
The EGMS will also determine the follow-up to the organizational structure following the resignation of the independent commissioner.
Telkom listed November 19, 2025 as
recording date
for shareholders who are entitled to attend the meeting.The official invitation has been sent through the stock exchange’s information disclosure system.
